Unitel Submits New Proposal for BFA Leadership Following Regulatory Approval

Unitel, S.A. has submitted a new proposal for the election of the governing bodies of Banco de Fomento Angola (BFA) for the 2026–2029 term, fully replacing the previous proposal submitted in February.

The proposal, already accepted for consideration at the Annual General Meeting scheduled for March 30, reflects adjustments resulting from evaluation processes conducted by the National Bank of Angola (BNA), whose conclusions paved the way for a more comprehensive restructuring of the bank’s governance structure.

Essentially, the new list proposes the simultaneous renewal of the General Meeting Board, the Board of Directors, the Supervisory Board, and the Remuneration Committee, signaling an integrated approach to corporate governance. According to the shareholder, all nominees subject to suitability assessments have already received regulatory approval, eliminating one of the main execution risks associated with this type of process.

Maria do Carmo Bastos Corte-Real Bernardo is set to take the helm of the Board of Directors, while Valter Rui Dias de Barros will serve as independent vice-chair. The composition also includes a broad group of non-executive and independent directors, as well as an executive team led by Luís Roberto Fernandes Gonçalves, in his capacity as Chairman of the Executive Committee. This structure suggests an attempt to strengthen internal oversight mechanisms and the balance between executive and non-executive roles, an aspect increasingly valued by regulators and institutional investors.

From a strategic perspective, the decision to completely replace the previous proposal—rather than making minor adjustments—reveals not only the complexity of regulatory approval processes in Angola but also the need for close alignment between shareholders and the regulator. In doing so, Unitel, S.A. seeks to present a consolidated solution, reducing uncertainties ahead of the General Meeting’s deliberations.

The proposal comes at a time when the governance of Angolan financial institutions remains under heightened scrutiny, with the National Bank of Angola playing a central role in validating the suitability and competence of key executives. In this context, the anticipation of regulatory approval can be interpreted as a sign of stability and institutional predictability for Banco de Fomento Angola (BFA).

In addition to the Board of Directors, the proposal designates Ismael Abraão Gaspar Martins as Chairman of the General Meeting and Gilberto Rodrigues Caliatu as Chairman of the Supervisory Board. The Compensation Committee, meanwhile, is to be led by Laura Maria Pires Alcântara Monteiro, in a structure that strengthens the institution’s governance framework and incentive mechanisms.

In terms of market interpretation, this reorganization could be seen as a move to consolidate BFA’s governance at a time when the Angolan banking sector faces structural challenges, ranging from the need to strengthen compliance practices to the growing demand for transparency.

The approval of this proposal could thus serve as a relevant indicator of the degree of alignment among shareholders, management, and the regulator—a critical factor for confidence in the financial system.
